Disclaimer and Limitation of Liability

Bmator is a software service ("Bmator", the "Service") published and operated by Amdamax société à responsabilité limitée à associé unique au capital de 3 000 €, 31 Chemin de la Butte, 78620 L'Étang-la-Ville, France, registered under SIREN 534 711 114 (RCS Versailles) ("Amdamax", "we", "us", "our"). By accessing or using Bmator, you ("you", the "User") acknowledge that you have read, understood, and accepted this Disclaimer. If you do not accept it, you must not use the Service.

This Disclaimer applies to the maximum extent permitted by applicable law, and is intended for use by professional users acting within the scope of their business activity. Nothing in this Disclaimer excludes or limits any liability that cannot lawfully be excluded or limited, including liability for gross negligence (faute lourde), willful misconduct (dol), fraud, death or personal injury caused by our negligence, or any statutory rights available to consumers.

1. Service Provided "As Is"

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, except as required by law. In particular, and to the extent permitted by law, we do not warrant that the Service will be uninterrupted, error-free, secure, free of defects, or that it will meet your specific requirements or produce any particular result.

2. No Professional Advice

Bmator is a data-processing and reporting tool. It is not a substitute for professional judgement and does not constitute accounting, auditing, tax, legal, financial, investment, or any other form of professional advice.

The reports, computed values, ratios, charts, dashboards, and other outputs generated by the Service ("Outputs") are automated calculations based on data and configurations that you provide or select. They are provided for informational purposes only. You should not rely on the Outputs as the sole basis for any accounting, tax, legal, financial, or business decision, and you should consult a qualified professional (for example, an expert-comptable, statutory auditor, tax adviser, or lawyer) before acting on them.

Amdamax is not a chartered accountancy firm (cabinet d'expertise comptable), auditor, or regulated financial or investment adviser, and does not hold itself out as any of these.

3. Accuracy and User-Provided Data

The accuracy, completeness, and reliability of the Outputs depend entirely on the accuracy, completeness, and correct formatting of the data you import or enter (including, without limitation, FEC files, accounting entries, chart-of-accounts mappings, reporting-node configurations, templates, and parameters), and on the choices you make when configuring the Service.

You are solely responsible for the data you provide and for the configuration you apply. We do not verify, audit, or validate your source data, and we make no representation as to whether the Outputs correctly reflect your financial position, comply with any accounting framework, or are fit for any regulatory, statutory, or contractual purpose.

4. User Responsibility and Verification

You are solely responsible for:

  • reviewing, checking, and validating all Outputs before relying on or distributing them;
  • reconciling the Outputs against your source accounting records and your own or your adviser's independent calculations;
  • all decisions taken, and all actions or omissions, based on the Service or its Outputs; and
  • any use of the Service that does not comply with these terms or with applicable law.

You accept the risk associated with your use of the Service and its Outputs.

5. Availability, Maintenance, and Data

We may modify, suspend, restrict, or discontinue all or part of the Service, or perform maintenance, at any time, and we do not guarantee any particular level of availability, performance, or continuity. While we take reasonable measures in relation to your data, you remain responsible for maintaining your own independent backups of any data you consider important. We are not liable for any loss, corruption, or unavailability of data except to the extent such loss results directly from our failure to meet an obligation that cannot lawfully be excluded.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

6.1 We shall not be liable for any indirect or consequential loss or damage, nor for any loss of profit, loss of revenue, loss of business, loss of anticipated savings, loss of goodwill, loss of opportunity, or loss, corruption, or inaccuracy of data, arising out of or in connection with the Service or its Outputs, whether based in contract, tort (including negligence), statute, or otherwise, even if we have been advised of the possibility of such loss.

6.2 In particular, we shall not be liable for any loss or damage arising from: (a) errors, inaccuracies, or omissions in the data you provide; (b) your configuration of the Service; (c) your reliance on any Output; (d) any accounting, tax, financial, legal, or business decision made using the Service; (e) any interruption, unavailability, or malfunction of the Service; or (f) any unauthorized access to or alteration of your data or transmissions by third parties.

6.3 Where our liability cannot lawfully be excluded, our total aggregate liability to you arising out of or in connection with the Service, from all causes combined and over any twelve (12) month period, shall not exceed the total amounts actually paid by you to Amdamax for the Service during that period, or, where the Service is provided free of charge, one hundred euros (€100).

7. Third-Party Services and Links

The Service may rely on, reference, or link to third-party software, services, content, or websites. We do not control and are not responsible for such third-party materials, and their inclusion does not imply any endorsement. Your use of any third-party service is subject to that third party's own terms and policies.

8. Your Compliance Obligations

You are responsible for ensuring that your use of the Service, and your processing and reporting of financial data through it, comply with all laws, regulations, accounting standards, and professional obligations applicable to you, including tax and data-protection obligations. Data protection is addressed separately in our Privacy Policy and, where applicable, our data-processing terms.

9. Changes to the Service and this Disclaimer

We may update this Disclaimer from time to time to reflect changes to the Service or to legal requirements. The version in force is the one published on the Service at the time of your use. Your continued use of the Service after any change constitutes acceptance of the updated Disclaimer.

10. Governing Law

This Disclaimer is governed by French law. Any dispute relating to it shall be subject to the jurisdiction determined in accordance with the applicable rules of French law, and, for professional users, the courts of Versailles, without prejudice to any mandatory rules protecting consumers.
